Solution Features

Long ago, each bank had its own credit program, limiting transactions to only its customers. Then, credit card companies (and later, payment apps) standardized and digitized the credit payment system, enabling seamless credit transactions among virtually all banks, merchants, and consumers.

Similarly, before Nodal, each contract party had its own “form NDA.” It preferred to use its own NDA, to avoid spending time reviewing the other party’s NDA (so-called “battle of forms”). Inevitably, one party was stuck reviewing the other party’s form NDA, and if edits were necessary, redlines often would go back-and-forth in a tiresome, repetitive process.  

Like the credit card companies, Nodal has standardized the NDA and digitized the NDA process. Nodal has eliminated “forms” and the “battle of forms.” Instead, each customer creates a digital “Playbook”, designating acceptable and unacceptable language for its NDA. When NDAs are processed in Nodal, a customer’s Playbook serves as its “digital assistant”, automating the review of NDAs and NDA edits in accordance with its rules. In addition, by connecting contract parties on a digital platform, Nodal enables customers to seamlessly send, receive, review, edit, complete, sign, track and store their NDAs.

Nodal currently works only for NDAs that are initiated from Nodal and only in the United States. We plan to add additional functionality and contract types based on customer demand.

A Playbook effectively replaces your “form NDA” and acceptable “fall back provisions.” A Playbook is your digital record of acceptable and unacceptable language for your NDAs, and it provides the dual benefit of (i) automating your review and completion of NDAs, and (ii) enhancing your control over the language in your organization’s NDAs.

Your Playbook remains private, encrypted, and is never shared with other Nodal customers.

Yes. Typically a Nodal customer will have at least a “one way NDA” Playbook and “mutual NDA” Playbook.

When a customer has a Playbook, Nodal’s patent-pending, proprietary “matching technology” transforms your Playbook into a “digital assistant” that automatically reviews any NDA edits for acceptability based on your rules.

In addition, if each party has a Playbook, then Nodal’s matching technology compares the two Playbooks from the outset to derive a mutually acceptable NDA, without human review and in about one second. 

Only if there is divergence will manual review be necessary.

Nodal has built-in e-signature capability as well as the ability to upload a signature to an NDA.

Nodal is an end-to-end solution.

A customer can send and receive NDAs, review (including automated review via a Playbook) and edit NDAs, complete and sign NDAs, manage NDA workflows, track the NDA status in real-time, and comply with signed NDAs, all in the Nodal platform.

Nodal will provide you with both (i) your performance data, and (ii) “market” data regarding NDA provisions. Those features are expected to be made available when the quantum of data is deemed representative.

No. Nodal is not a legal service, Nodal Solutions is not an attorney or law firm, and no attorney-client relationship or privilege is formed by your use of Nodal. You are solely responsible for creating your Playbook, negotiating and approving your NDAs, making all legal interpretations, including legal enforceability of your NDAs, and knowing and complying with the terms of your NDAs.

Pricing & Payment

Generally, each customer must have a subscription in order to create a Playbook and process NDAs in Nodal. Yet, if a guest receives a Nodal NDA, that guest can complete the NDA in Nodal without a subscription. All users must agree to our terms and conditions.

Technical

We employ industry standard, best practices, including hosting our application and databases with a leading global cloud provider, applying encryption of data, two-factor authentication, and periodic testing, secure code reviews and other control measures.

In addition to the various security measures described above, Nodal does not request personal information other than basic account set-up information. Nodal does not divulge or sell your personal data to third parties. Nodal constantly monitors the ever-changing privacy legal and regulatory landscape and will continue to comply with applicable laws and industry best practices.

Nodal currently is integrated with a payment processor. Nodal is evaluating integrations with potential partners, including certain CRMs, virtual data rooms, legal process outsource firms, and others, and will provide updates when additional integrations are available.
