To accelerate contract completion, both contracting parties and all contracting processes must move faster, together. As such, Nodal is intentionally designed as the first-ever “digital contracting network”, which means: (1) we have digitized contracts (i.e., tech speak for “structured data”), enabling automation of the entire contract life cycle, including drafting, negotiation, signing, workflow, and compliance, and (2) like eBay for commerce, Match for dating, or Instagram for social, we connect contract counterparties on a digital platform, facilitating contract process and completion for both parties.

Nodal currently works only for NDAs in the United States, but we will expand according to customer demand.

A Playbook is a dynamic, digital replacement of your static “form NDA” and acceptable “fall back provisions.” A Playbook provides the dual benefit of 100% control over your contract terms, while automating your NDA negotiations. Your Playbook remains private and is never shared with other customers.

Yes, with the Professional Plan, you may have unlimited Playbooks. With the Basic Plan, you are limited to one Playbook.

When you have a Playbook, it becomes your “digital negotiator”, identifying what NDA language is acceptable or unacceptable. Nodal’s patent-pending, proprietary intelligent match technology compares your Playbook against either (i) your NDA counterparty’s Playbook or (ii) your counterparty’s NDA edits, as applicable, and, in seconds, produces the results of such “auto-negotiation.”

Nodal has built-in e-signature capability as well as the ability to upload a signature to an NDA.

Nodal is an end-to-end solution. You can initiate and receive NDA negotiations, review, edit and negotiate NDAs, approve and sign NDAs, track and manage NDA workflows, and manage and comply with signed NDAs, all within the Nodal platform.

Nodal will provide you with both (i) your performance data, and (ii) “market” data regarding NDA provisions. Those features are expected to be available in late 2023.

No, Nodal is not a legal service, Nodal Solutions is not an attorney or law firm, and no attorney-client relationship or privilege is formed by your use of Nodal. You are solely responsible for creating your Playbook, negotiating and approving your NDAs, and making all legal interpretations, including legal enforceability of your NDAs, and compliance with your NDAs.

Technical

We employ industry standard, best practices, including hosting our application and databases with a leading global cloud provider, applying encryption of data, two-factor authentication, and periodic testing, secure code reviews and other control measures.

In addition to the various security measures described above, Nodal does not request personal information other than basic account set-up information. Nodal does not divulge or sell your personal data to third parties. Nodal constantly monitors the ever-changing privacy legal and regulatory landscape and will continue to comply with applicable laws and industry best practices.

No, but Nodal currently is planning integrations with various partners, including certain virtual data rooms, CRMs, and others.
